Welcome to Messavy.com (the "Platform"). These Terms and Conditions ("Terms") govern your access to and use of the services provided by Peacom Pte Ltd. By accessing the Platform or using our services, you agree to be bound by these Terms.

2. Description of Services

Messavy is a software-as-a-service (SaaS) platform designed to facilitate business messaging. The Platform allows business users to:

  • Connect their WhatsApp Business API (WABA) accounts to the Messavy interface.
  • Manage conversations and messaging campaigns.
  • Utilize platform-specific tools for customer engagement.

3. Account Connectivity and Meta Requirements

As a condition of using the Platform, you must possess a valid WhatsApp Business API account.

  • Third-Party Terms: You must comply with all Meta (Facebook) terms, policies, and guidelines regarding the WhatsApp Business Platform.
  • Direct Billing: You acknowledge that all fees related to WhatsApp Message usage (per-conversation or per-message fees) are billed by and paid directly to Meta. Messavy does not collect, process, or assume liability for these external fees.
  • Account Status: Messavy is not responsible for any suspension or termination of your WABA account by Meta.

4. Platform Usage and Token System

Messavy operates on a "Top-up" model for platform usage fees.

4.1 Token Purchase

  • Business users are required to top up their accounts by purchasing "Tokens."
  • These Tokens represent a pre-paid balance used exclusively for Platform usage charges (e.g., access to features, dashboard management, and automation tools).

4.2 Non-Refundable Policy

  • All top-ups and Token purchases are final.
  • Once purchased, Tokens are non-refundable, non-exchangeable, and non-transferable.
  • Unused Tokens will remain in your account balance for future use but cannot be cashed out or refunded upon account closure.

5. Fees and Payment Summary

Fee Type Recipient Description
Platform Usage Fee Peacom Pte Ltd (Messavy) Paid via Token top-ups for access to the software interface.
WhatsApp Messaging Fee Meta (Facebook) Paid directly to Meta based on their standard conversation-based pricing.

6. Limitation of Liability

To the fullest extent permitted by law:

  • Service Availability: Peacom Pte Ltd provides the Platform "as is" and does not guarantee uninterrupted service.
  • Third-Party Faults: We are not liable for non-delivery of messages caused by Meta, mobile operators, or end-user device issues.
  • Financial Loss: Peacom Pte Ltd shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Platform.

7. Compliance and Prohibited Content

You agree to use the Platform only for legitimate business purposes. You are prohibited from sending:

  • Unsolicited messages (Spam).
  • Content that is illegal, fraudulent, or malicious.
  • Messages that violate the intellectual property rights of others.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore. Any disputes arising from or related to these Terms shall be settled in good faith through negotiations. If an amicable settlement cannot be reached, the courts of Singapore shall have exclusive jurisdiction.
